These Vendor Terms & Conditions (“Vendor Terms”) govern the participation of businesses and suppliers (“Vendor,” “Seller,” or “Merchant”) on the CraftEdge Security Marketplace. By registering as a vendor, listing products, or conducting business through the platform, you agree to comply with these Vendor Terms.
1. Vendor Eligibility
Only legally registered businesses, authorized distributors, manufacturers, wholesalers, importers, and service providers may register as vendors. CraftEdge Security Marketplace reserves the right to verify business registration, tax information, identity, and product authorization before approving or maintaining a vendor account.
2. Vendor Responsibilities
Vendors are responsible for:
- Providing accurate business and contact information.
- Listing only genuine, lawful, and accurately described products or services.
- Maintaining adequate inventory levels.
- Processing and fulfilling orders within the agreed timelines.
- Providing applicable warranties and after-sales support.
- Complying with all applicable laws, regulations, and industry standards.
3. Product Listings
All product listings must include accurate descriptions, specifications, pricing, images, certifications (where applicable), and availability. Vendors must not list counterfeit, prohibited, unsafe, stolen, or misleading products.
CraftEdge reserves the right to edit, suspend, or remove listings that violate marketplace policies or applicable laws.
4. Pricing and Payments
Vendors are responsible for setting competitive and accurate pricing. Marketplace commissions, transaction fees, taxes, and payment schedules shall be governed by the applicable Vendor Agreement and payment policies.
Payments to vendors will be processed after successful order completion, subject to applicable deductions, refunds, disputes, or legal obligations.
5. Order Fulfillment
Vendors must:
- Confirm orders promptly.
- Package products securely.
- Ship orders within the stated processing time.
- Provide valid shipment tracking where available.
- Notify customers of any delays or stock shortages.
Repeated failure to fulfill orders may result in account suspension or termination.
6. Returns and Customer Service
Vendors shall cooperate with CraftEdge Security Marketplace in resolving customer complaints, warranty claims, exchanges, and eligible returns in accordance with the marketplace’s Return & Refund Policy.
7. Compliance
Vendors must comply with all applicable laws relating to product safety, consumer protection, import and export regulations, sanctions, anti-bribery laws, intellectual property rights, and data protection requirements.
Any products requiring licenses, certifications, or government authorization must be offered only in accordance with applicable legal requirements.
8. Intellectual Property
Vendors confirm that they own or have the legal right to use all trademarks, logos, product images, descriptions, and other content uploaded to the marketplace. Vendors agree not to infringe the intellectual property rights of any third party.
9. Prohibited Products
The marketplace prohibits the listing or sale of products that are illegal, counterfeit, stolen, unsafe, or otherwise restricted under applicable law. CraftEdge Security Marketplace reserves the right to remove prohibited products immediately and report unlawful activity to the appropriate authorities where required.
10. Vendor Account Suspension
CraftEdge Security Marketplace may suspend or terminate a vendor account for fraud, repeated policy violations, failure to fulfill orders, misleading product information, customer abuse, intellectual property infringement, or other conduct that may harm customers or the marketplace.
11. Limitation of Liability
CraftEdge Security Marketplace acts as a marketplace platform and is not the manufacturer of products sold by third-party vendors. Vendors remain responsible for the quality, safety, legality, warranties, and performance of their products and services.
12. Confidentiality
Vendors shall keep confidential any non-public business, customer, pricing, and operational information obtained through the marketplace and shall use such information solely for fulfilling legitimate business transactions.
13. Governing Law
These Vendor Terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes arising from participation in the marketplace shall be resolved through negotiation where possible, or otherwise before a court of competent jurisdiction in Nigeria, unless otherwise agreed in writing.
14. Amendments
CraftEdge Security Marketplace may update these Vendor Terms from time to time. Vendors will be notified of material changes, and continued use of the platform constitutes acceptance of the revised terms.
